Holistic Practitioner Hub Terms of Service

1. Introduction and Acceptance

Welcome to Holistic Practitioner Hub. These Terms of Service (“Terms”) govern your access to and use of the Holistic Practitioner Hub website, mobile applications, and services (collectively, the “Service”).

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service. These Terms constitute a legally binding agreement between you and Holistic Practitioner Hub (“we,” “us,” or “our”).

2. Definitions

For clarity in these Terms:

• “User” or “you” refers to individuals who access or use our Service, whether as clients seeking practitioners or as practitioners offering services.
• “Practitioner” refers to holistic health professionals who offer services through our platform.
• “Client” refers to individuals seeking or purchasing services from Practitioners through our platform.
• “Content” includes text, graphics, logos, images, audio, video, software, data, and other materials.

3. Service Description

Holistic Practitioner Hub is a platform that connects Clients with holistic health Practitioners. Our Service facilitates the discovery, booking, and management of holistic health appointments and services. We do not provide holistic health services directly; rather, we facilitate connections between Clients and independent Practitioners.

4. User Eligibility and Account Creation

4.1 Eligibility

You must be at least 18 years old to use our Service. By creating an account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.

4.2 Account Registration

To access certain features of our Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4.3 Account Security

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

5. User Obligations and Prohibited Conduct

5.1 General Obligations

You agree to use our Service in compliance with these Terms and all applicable laws and regulations. You shall not use our Service in any manner that could damage, disable, overburden, or impair our Service or interfere with any other party’s use of the Service.

5.2 Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Using the Service for any illegal purpose or in violation of any local, state, national, or international law
• Impersonating any person or entity or falsely stating or misrepresenting your affiliation with a person or entity
• Interfering with or disrupting the Service or servers or networks connected to the Service
• Attempting to gain unauthorized access to the Service, user accounts, or computer systems or networks
• Harvesting or collecting email addresses or other contact information of other users from the Service
• Posting or transmitting any content that is unlawful, fraudulent, threatening, abusive, libelous, defamatory, obscene, or otherwise objectionable
• Uploading or transmitting viruses, malware, or other malicious code
• Engaging in automated use of the system, such as using scripts to send messages or posts
• Attempting to circumvent any technology used by Holistic Practitioner Hub to protect the Service or content
• Posting false, inaccurate, misleading, defamatory, or libelous content about Practitioners or services

6. Practitioner-Specific Terms

6.1 Practitioner Qualifications

Practitioners must possess all required licenses, certifications, and credentials necessary to practice their specific discipline legally in their jurisdiction. We reserve the right to verify such qualifications and to remove Practitioners who misrepresent their qualifications.

6.2 Independent Contractors

Practitioners are independent contractors, not employees or agents of Holistic Practitioner Hub. Practitioners are solely responsible for the services they provide to Clients.

6.3 Practitioner Obligations

Practitioners agree to:

• Provide accurate information about their qualifications, services, and availability
• Maintain current licenses and certifications as required by applicable laws
• Maintain professional liability insurance appropriate for their practice
• Comply with all applicable laws, regulations, and professional standards
• Maintain the confidentiality of Client information
• Respond to booking requests and messages in a timely manner
• Provide services with reasonable care and skill

6.4 Service Fees and Payments to Practitioners

We charge Practitioners a service fee for use of our platform. The specific fee structure will be communicated to Practitioners during registration and may be updated from time to time. Practitioners are responsible for paying all applicable taxes on their earnings.

7. Content and Intellectual Property

7.1 User Content

You retain ownership of any content you submit, post, or display on or through our Service (“User Content”). By posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, copy, modify, and display your User Content in connection with the operation of our Service.

7.2 Content Guidelines

You are solely responsible for your User Content. We do not endorse or guarantee the accuracy, completeness, or quality of any User Content. We reserve the right, but not the obligation, to remove or modify User Content that violates these Terms or that we otherwise find objectionable.

7.3 Intellectual Property Rights

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Holistic Practitioner Hub and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

8. Appointments and Cancellations

8.1 Booking Appointments

Our Service allows Clients to book appointments with Practitioners. All appointments are subject to Practitioner availability and confirmation.

8.2 Cancellation Policy

Each Practitioner sets their own cancellation policy, which will be displayed at the time of booking. Clients agree to comply with the cancellation policy of the Practitioner they book with. Repeated no-shows or late cancellations may result in account suspension.

8.3 Rescheduling

Clients may reschedule appointments through our Service, subject to the Practitioner’s availability and cancellation policy.

9. Payment Terms

9.1 Pricing

Practitioners set their own prices for services offered through our platform. All prices are displayed in the applicable currency before booking.

9.2 Payment Processing

We use third-party payment processors to facilitate transactions between Clients and Practitioners. By using our Service, you agree to be bound by the terms of service of these payment processors.

9.3 Payment Authorization

When you provide payment information, you represent and warrant that you are authorized to use the payment method provided and that the payment information you provide is accurate and complete.

9.4 Fees and Taxes

We may charge service fees for the use of our platform. Any applicable fees will be disclosed before you complete a transaction. You are responsible for paying all applicable taxes associated with your use of our Service.

10. Health Disclaimer

10.1 Not Medical Advice

The information provided through our Service is for informational purposes only and is not intended as medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition.

10.2 No Practitioner-Client Relationship

Use of our Service does not create a practitioner-client relationship between you and Holistic Practitioner Hub. Any practitioner-client relationship is solely between you and the Practitioner you choose to engage with.

10.3 Emergency Services

Our Service is not intended for medical emergencies. In case of a medical emergency, please call your local emergency services immediately.

11. Limitation of Liability

11.1 Disclaimer of Warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. Holistic Practitioner Hub expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11.2 Limitation of Liability

To the maximum extent permitted by law, Holistic Practitioner Hub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

11.3 Practitioner Services

We do not guarantee the quality, safety, or legality of Practitioner services. We do not control and are not responsible for the actions or content of Practitioners or Clients. Any disputes between Clients and Practitioners should be resolved directly between the parties involved.

12. Indemnification

You agree to defend, indemnify, and hold harmless Holistic Practitioner Hub and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from:

• Your use of and access to the Service
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your User Content caused damage to a third party

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state of Oregon, without regard to its conflict of law provisions.

13.2 Arbitration

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in Portland, Oregon, using the English language in accordance with the Arbitration Rules and Procedures of the Judicial Arbitration and Mediation Services, Inc. (“JAMS”) then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes.

13.3 Class Action Waiver

Any arbitration under these Terms will take place on an individual basis; class arbitrations and class actions are not permitted.

14. Termination

14.1 Termination by You

You may terminate your account at any time by following the instructions on our website or by contacting us at [email protected].

14.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

14.3 Effect of Termination

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

We will provide notice of any changes by posting the new Terms on this page and updating the “Last Updated” date. For material changes, we will provide additional notice, such as an email notification or a prominent notice on our website.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Holistic Practitioner Hub concerning the Service.

18. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
